Terms and Conditions of Sale

1. General Provisions

These Terms and Conditions of Sale (hereinafter the “Terms and Conditions”) govern the contractual relationship between Import Clément, hereinafter referred to as the “Seller”, and any individual or legal entity purchasing products through the Extra Looners website, hereinafter referred to as the “Customer”.

The Extra Looners website is an online store offering, in particular, balloons, accessories and related products.

By placing an order on the website, the Customer fully and unreservedly accepts these Terms and Conditions.

The Terms and Conditions applicable to an order are those in force at the time the order is placed.


2. Scope of the Terms and Conditions

These Terms and Conditions apply to all sales made through the Extra Looners website.

The products offered for sale are presented and described as accurately as possible.

Photographs, illustrations and product visuals are provided to illustrate the products. Minor differences may occur, particularly due to display conditions, screen resolution or manufacturing variations.

The essential characteristics of each product are specified in its product description.


3. Prices and Pricing Conditions

Prices are displayed in euros (€).

Where VAT is applicable, prices include VAT in accordance with the applicable legislation.

Any applicable delivery charges are clearly displayed to the Customer before the final order is placed.

The Seller reserves the right to change its prices at any time. The price applicable to an order is the price displayed when the order is confirmed.

In the event of an obvious pricing error resulting from a technical or computer-related issue, the Seller reserves the right to cancel the affected order and refund the Customer.


4. Ordering Procedure

The Customer selects the products they wish to purchase and adds them to their shopping cart.

Before finalizing the order, the Customer may review the contents of the cart, modify quantities and correct any errors.

The Customer must then provide the information required for delivery and order processing, select a delivery method and complete the payment.

The order becomes final once:

  • the order details have been confirmed;

  • these Terms and Conditions have been accepted;

  • payment has been successfully validated, where payment is required.

An order confirmation is sent to the email address provided by the Customer.

The Seller reserves the right to refuse or cancel an order for legitimate reasons, including suspected fraud, fraudulent use of a payment method or an unresolved previous dispute.


5. Payment

Payment may be made using the payment methods available on the website at the time of purchase.

Payment must be successfully validated before the order is shipped, unless otherwise stated.

Transactions are processed through the payment service providers available on the website.

The Seller does not retain the Customer's complete banking details when these are processed directly by the payment service provider.

If payment is declined or fails, the order cannot be considered fully confirmed until payment has been successfully accepted.


6. Product Availability

Products are offered subject to availability.

In the event that a product becomes exceptionally unavailable after an order has been confirmed, the Seller will inform the Customer as soon as reasonably possible.

Depending on the circumstances, the Seller may offer:

  • an estimated restocking period;

  • an equivalent product, subject to the Customer's agreement;

  • or cancellation and a refund of the affected product.


7. Order Processing

Particular care is taken when preparing orders.

Products are prepared and packaged in a manner intended to reduce the risk of damage during transportation.

Orders are generally prepared within 2 to 3 business days.

This processing time may be longer for certain products, special orders or periods of high activity. Where a specific processing time is indicated on the website, that time shall apply.

The processing period begins once the order and, where applicable, payment have been confirmed.


8. Delivery

Orders are delivered to the address or collection point selected by the Customer when placing the order.

Available delivery methods and their respective prices are displayed during the ordering process.

As an indication, usual delivery times may be:

  • 3 to 7 business days in France;

  • 3 to 15 business days within Europe.

These delivery times apply to transportation after dispatch and may vary depending on the carrier, destination, periods of high activity and circumstances beyond the Seller's control.

Order processing times are added to transportation times.

For international deliveries, additional delays may occur due to customs procedures.

Any customs duties, import taxes, clearance fees or other charges applicable in the destination country are the responsibility of the Customer where required by applicable law.


9. Delivery Delays

The Seller makes every effort to meet the delivery times indicated on the website.

In the event of a delivery delay, the Customer may contact the Seller to obtain information regarding the status of the shipment.

The Seller cannot be held responsible for delays attributable to the carrier or resulting from circumstances beyond the Seller's reasonable control.

However, the Customer's rights under applicable legislation regarding delivery times remain fully applicable.


10. Receipt of the Order

Upon receiving the parcel, the Customer is encouraged to check its external condition and, where possible, the contents of the delivery.

If the parcel is visibly damaged, the Customer is encouraged to make the appropriate reservations with the carrier and contact the Seller promptly.

The fact that a parcel is marked as “delivered” by the carrier does not deprive the Customer of their rights where the Customer genuinely disputes having received the parcel.

In the event of a delivery issue, the Seller may request the information necessary to investigate the matter with the carrier.


11. Right of Withdrawal

In accordance with the rules applicable to distance contracts, consumers generally have a 14-day withdrawal period, unless an exception provided by law applies, beginning on the date they receive the product, without having to provide a reason for exercising this right.

Where an order consists of several products delivered separately, the withdrawal period begins upon receipt of the last product.

Customers wishing to exercise their right of withdrawal must inform the Seller of their decision before the applicable withdrawal period expires.

Products must be returned in accordance with the conditions provided by applicable law.

Direct return shipping costs may be borne by the Customer where permitted by law and where the Customer was informed of this before the sale was concluded.

Refunds will be made in accordance with applicable legal requirements.

Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to products or situations expressly excluded by applicable law.

In particular, where a product is made to the Customer's specifications or is clearly personalized, the right of withdrawal may not apply.


12. Legal Guarantees

Products sold by Extra Looners are covered by the applicable statutory guarantees, including:

  • the statutory guarantee of conformity;

  • the statutory guarantee against hidden defects, under the conditions provided by law.

These guarantees apply independently of any commercial warranty that may be offered.

If a product is defective or does not conform to the order, the Customer may contact the Seller and provide the relevant order information and, where useful, photographs of the product concerned.


13. Liability

The Seller is responsible for properly performing its obligations under the sales contract in accordance with applicable law.

The Seller cannot be held responsible for damage resulting from improper use, use contrary to the manufacturer's instructions or use for a purpose for which the product was not intended.

The Seller's liability cannot be excluded or limited where such exclusion or limitation is prohibited by law.


14. Force Majeure

The Seller shall not be held responsible for any delay or failure to perform its obligations resulting from an event qualifying as force majeure under applicable law.

Such events may include, where they meet the applicable legal requirements, natural disasters, fires, pandemics, wars, industrial action, significant disruptions to transportation or energy networks, or administrative decisions preventing performance of the contract.

The Seller will inform the Customer, where reasonably possible, when such circumstances affect the performance of an order.


15. Ownership of Products

Products remain the property of the Seller until full payment of the order price, where such retention of title is applicable.

Transfer of risk takes place in accordance with applicable law.

For consumers, the risk of loss or damage to the goods transfers when the consumer, or a third party designated by the consumer other than the carrier proposed by the Seller, physically takes possession of the goods.


16. Intellectual Property

All elements available on the Extra Looners website, including texts, photographs, images, illustrations, graphics, logos, videos, icons and page layouts, are protected by applicable intellectual property laws.

Any reproduction, representation, modification, adaptation or use, in whole or in part, of these elements without prior authorization is prohibited, except where otherwise permitted by law.


17. Personal Data Protection

Personal data collected when placing orders or using the website is processed in accordance with applicable regulations, including the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés).

Information regarding the collection, use, storage and rights of users is provided in the website's Privacy Policy.


18. Complaints and Amicable Dispute Resolution

For any question or complaint concerning an order, the Customer is invited to contact the Seller using the contact details available on the website.

The Seller will seek to resolve any difficulties amicably whenever possible.

Where the Customer is a consumer, they may also, under the conditions provided by applicable law, use a consumer mediation service after first submitting a written complaint to the Seller.

Information regarding the relevant consumer mediator, where applicable, will be provided in accordance with current legal requirements.


19. Applicable Law and Jurisdiction

These Terms and Conditions are governed by French law, subject to any mandatory provisions that may apply to Customers residing in another country.

For consumer Customers, the jurisdiction rules provided by applicable law remain fully applicable.

For professional Customers, any dispute relating to the formation, interpretation or performance of these Terms and Conditions may, subject to mandatory applicable rules, fall under the jurisdiction of the competent courts in accordance with French law.


20. Amendments to the Terms and Conditions

The Seller reserves the right to amend these Terms and Conditions in order to take into account, in particular, changes in legislation, regulations, technology or commercial practices.

The Terms and Conditions applicable to an order are those accepted by the Customer when the order is placed.
